Terms and Conditions of Sale
Last updated: October 2026
This is an English translation provided for convenience. The Italian version is the authoritative text and prevails in case of discrepancy.
These General Terms and Conditions of Sale (the "Terms") govern the offer and sale of products under the Baroni brand (the "Products") through the website https://baroniwear.com (the "Website"). Before submitting an order request, please read these Terms carefully and print or save a copy.
1. Seller identificationThe Website is operated by:
Noregrets di Jaiani Nino (the "Seller") Registered address: Via Terrarossa 34/b, Buggiano (PT), Italy VAT number: IT02061810475 Email: info@baroniwear.com Phone: +39 392 340 9836
Showroom: Via Giuseppe Sirtori 26, 20129 Milan (the showroom address is not the Seller's registered office).
2. Scope of application2.1 These Terms apply to all distance sales contracts for Products concluded between the Seller and the buyer through the Website.
2.2 Distance sales are governed by the Italian Consumer Code (Legislative Decree no. 206 of 6 September 2005, the "Consumer Code"), in particular Articles 45 et seq., and by Legislative Decree no. 70 of 9 April 2003 on electronic commerce.
2.3 For the purposes of these Terms, a "Consumer" is a natural person acting for purposes unrelated to any business, commercial, craft or professional activity (Article 3(1)(a) Consumer Code). A "Non-consumer Customer" is any other buyer (for example, a buyer purchasing for business purposes with a VAT number). Consumer protection provisions, including the right of withdrawal, do not apply to Non-consumer Customers.
2.4 Purchases are only permitted to persons of legal age.
2.5 The Terms applicable to each order are those published on the Website on the date the order request is submitted. The Seller may amend them at any time; amendments do not affect orders already confirmed.
2.6 These Terms are drafted in Italian, which prevails over any translation in case of discrepancy.
3. Products and made-to-order sales model3.1 All Products are made to order: each garment is produced after the Seller confirms the order. For this reason, the Website currently allows only the submission of a pre-order request.
3.2 The main characteristics of each Product (materials, composition, colours, sizes, care instructions) are shown on the relevant product page. Photographs are illustrative: colours may vary slightly depending on the device used, and, as garments are made from natural materials (for example shearling, cashmere, leather), differences in shade and grain may occur and do not constitute a defect.
3.3 The Customer is responsible for choosing the size by consulting the size information on the product page and, if in doubt, contacting the Seller before submitting the order.
4. Prices4.1 Prices are shown in Euro and, for Consumers resident in the European Union, include VAT at the applicable rate.
4.2 Shipping costs, any customs duties, import taxes and additional charges, if due, are communicated to the Customer before the order is confirmed and, where they cannot be calculated in advance, are indicated as required by Article 49 of the Consumer Code.
4.3 For shipments to countries outside the European Union, customs duties, taxes and formalities applicable in the destination country are borne by the recipient, unless otherwise indicated.
5. Ordering procedure and conclusion of the contract5.1 To place a pre-order, the Customer selects the Product, adds it to the cart and fills in the form with the requested details (name, email, phone, delivery country and any other necessary information), then clicks "Pre-order". Before submitting, the Customer can check and correct the data entered.
5.2 Submitting the form constitutes a purchase request and does not conclude the contract. The Seller contacts the Customer by email to confirm availability, total price, shipping costs, payment method and estimated production and delivery times.
5.3 The sales contract is concluded when the Customer receives the Seller's written order confirmation and, where requested, accepts the terms stated in it.
5.4 The Seller may refuse or cancel an order request for a justified reason, including: unavailability of materials; incomplete or inaccurate identification or delivery data; suspected fraud; impossibility of delivering to the indicated country for regulatory or logistical reasons. In such cases any amounts already paid will be refunded in full.
5.5 Together with the confirmation, the Customer receives a copy of these Terms, the pre-contractual information required by law and the Seller's details, on a durable medium (email).
6. Payment6.1 Payment is made by the methods and within the terms indicated in the order confirmation sent by the Seller.
6.2 The Seller may require full or partial advance payment of the price before production starts or before shipment, as indicated in the order confirmation.
6.3 Payments by card or through third-party circuits are handled directly by the payment service provider using security protocols. The Seller does not have access to, and does not store, full card data.
6.4 The Seller issues a regular tax document, sent to the email address provided by the Customer.
7. Production, shipping and delivery7.1 Production and delivery times are communicated to the Customer in the order confirmation. As garments are made to order, these times are those agreed between the parties.
7.2 Shipments are made through express couriers (for example DHL, FedEx) or, in some countries, through local postal services. Transit times vary by destination country; for some non-EU destinations they may take several weeks. The Seller provides the tracking code as soon as the order is handed to the carrier.
7.3 If no delivery date was agreed in the order confirmation, the Seller delivers the Products without undue delay and in any case within 30 days of the conclusion of the contract (Article 61 Consumer Code). In case of delay, the Consumer may ask the Seller to deliver within an additional appropriate period; if the Seller fails to do so, the Consumer is entitled to terminate the contract and obtain a refund of amounts paid.
7.4 The risk of loss of or damage to the Products passes to the Consumer when the Consumer, or a third party designated by the Consumer (other than the carrier), takes physical possession of the goods (Article 63 Consumer Code).
7.5 If delivery fails because of an incorrect or incomplete address, or because the Customer does not collect the parcel, storage, re-shipment and any return-to-sender costs are borne by the Customer.
8. Checking on delivery8.1 On delivery, the Customer is invited to check that the number of parcels matches what was indicated and that the packaging is intact and untampered.
8.2 If the packaging is damaged or tampered with, it is recommended to accept the goods with a written reservation on the carrier's document, describing the damage, and to notify the Seller promptly at info@baroniwear.com, attaching photographs. This precaution facilitates handling the claim with the carrier and insurer but does not affect the rights granted to the Consumer by law.
9. Right of withdrawal (Consumers only)9.1 The Consumer has the right to withdraw from the contract without giving any reason and without penalty within 14 calendar days from the day on which the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the Products (Articles 52 et seq. Consumer Code). If an order includes several Products delivered separately, the period runs from delivery of the last Product.
9.2 To exercise the right of withdrawal, the Consumer sends an explicit statement of the decision to withdraw to info@baroniwear.com, including by using the model withdrawal form at the end of these Terms (use of the form is optional).
The Seller promptly sends the Consumer, on a durable medium, an acknowledgement of receipt of the withdrawal notice. To meet the deadline, it is sufficient that the notice is sent before the 14-day period expires.
9.3 Returning the Products. The Consumer must return the Products to the Seller without undue delay and in any case within 14 days of the date on which the withdrawal was communicated, to: Noregrets di Jaiani Nino, Via Terrarossa 34/b, Buggiano (PT), Italy. The Consumer is advised to use suitable packaging and, preferably, a tracked and insured shipment, since until receipt by the Seller the risk of loss or damage during the return transport lies with the Consumer.
9.4 Return costs. The direct costs of returning the Products are borne by the Consumer (Article 57(1) Consumer Code).
9.5 Condition of returned Products. Products must be returned intact, not worn beyond normal trying on, not washed or altered, complete with tags, labels, packaging and original accessories. The Consumer may handle and try on the garment only to the extent necessary to establish its nature, characteristics and functioning, as would be possible in a shop. The Consumer is liable for any diminished value of the Products resulting from handling beyond what is necessary for those purposes (Article 57(2) Consumer Code); the Seller may deduct from the refund an amount corresponding to the diminished value established.
10. Exceptions to the right of withdrawal10.1 Under Article 59 of the Consumer Code, the right of withdrawal is excluded, among other cases, for the supply of goods made to the Consumer's specifications or clearly personalised. This includes, by way of example, garments made to custom measurements provided by the Customer, or with modifications, material variants, colour changes, length changes or other personalisations requested by the Customer compared with the catalogue model. The Seller expressly indicates in the order confirmation whether the Product falls into this category.
10.2 Catalogue garments made in standard sizes and without any Customer personalisation remain subject to the right of withdrawal, even if produced only after the order is received.
10.3 The right of withdrawal does not apply to Non-consumer Customers.
11. Refunds11.1 If the right of withdrawal is validly exercised, the Seller refunds all payments received, including standard delivery costs, without undue delay and in any case within 14 days of the day on which the Seller is informed of the Consumer's decision to withdraw (Article 56 Consumer Code). If the Consumer chose a delivery method other than the least expensive one offered, the additional costs are not refunded.
11.2 The Seller may withhold the refund until the Products are received or until the Consumer proves they have been sent back, whichever is earlier.
11.3 The refund is made using the same payment method used for the purchase, unless otherwise expressly agreed, and at no cost to the Consumer.
12. Legal guarantee of conformity12.1 The Seller is liable to the Consumer for any lack of conformity that exists at the time of delivery and becomes apparent within two years of delivery, pursuant to Articles 128 et seq. of the Consumer Code. Defects that become apparent within one year of delivery are presumed to have existed at the time of delivery, unless proven otherwise.
12.2 In case of lack of conformity, the Consumer is entitled, under the conditions set by law, to have conformity restored free of charge by repair or replacement, or, where the requirements are met, to a price reduction or termination of the contract.
12.3 To claim under the guarantee, the Consumer writes to info@baroniwear.com describing the defect and attaching photographs and the order reference. The Seller will provide instructions for returning or inspecting the garment.
12.4 Normal wear and tear, damage caused by improper use, neglect or care not in line with the label instructions, and the natural characteristics of materials described in section 3.2 do not constitute a lack of conformity.
13. Intellectual property13.1 The "Baroni" trademark, the logo, designs and models, photographs, texts, graphics and all other content of the Website belong to the Seller or the respective rights holders and are protected by industrial property and copyright laws.
13.2 Any reproduction, copying, extraction, modification or use, even partial, without prior written authorisation is prohibited, except for personal, non-commercial use strictly necessary to browse the Website.
14. Limitation of liability14.1 The Seller is not liable for non-performance or delays due to force majeure or otherwise not attributable to the Seller (for example strikes, exceptional weather events, customs delays, interruptions of transport services or material suppliers), without prejudice to the obligation to inform the Customer promptly.
14.2 Nothing in these Terms excludes or limits the Seller's liability where this is not permitted by law, or affects the Consumer's non-waivable rights.
14.3 The Website may contain links to third-party websites, over whose terms and content the Seller has no control or responsibility.
15. Sales restrictions and regulatory compliance15.1 The Seller sells and ships only to the countries indicated as available when ordering or in the confirmation, and in compliance with applicable national, European Union and international rules, including those on economic sanctions, export restrictions and customs controls.
15.2 The Seller reserves the right not to accept or to cancel orders whose execution is prohibited or restricted by such rules. In this case any amounts paid are refunded.
16. Personal data protectionThe Customer's personal data is processed by the Seller, as data controller, in compliance with Regulation (EU) 2016/679 (GDPR) and Legislative Decree 196/2003, to manage the order, fulfil legal obligations and, with consent where required, for other purposes. For more information, please refer to the Privacy Policy and Cookie Policy published on the Website.
17. CommunicationsCommunications relating to the order take place by email at the address provided by the Customer. The Customer must provide accurate data and promptly notify any changes. The Customer may contact the Seller at the details in section 1.
18. Complaints and dispute resolution18.1 Complaints, reports and suggestions can be sent to info@baroniwear.com; the Seller normally replies within 30 days.
18.2 Consumers may use the alternative dispute resolution (ADR) bodies listed by the competent authorities, pursuant to Articles 141 et seq. of the Consumer Code. The Seller does not commit to using ADR procedures, but will consider in good faith any proposal received. For information, the Italian contact point of the European Consumer Centres Network (ECC-Net) is available at https://ecc-netitalia.it
19. Governing law and jurisdiction19.1 Contracts concluded through the Website are governed by Italian law. For Consumers resident in another country, the more favourable mandatory provisions of the law of the country of habitual residence remain applicable.
19.2 For disputes with Consumers, the court of the Consumer's place of residence or domicile, if located in Italy, has mandatory jurisdiction (Article 66-bis Consumer Code). The rules applicable to Consumers resident abroad remain unaffected.
19.3 For disputes with Non-consumer Customers, the Court of Pistoia has exclusive jurisdiction.
20. Final provisionsIf any clause of these Terms is declared invalid or ineffective, the remaining provisions remain valid. Failure by the Seller to enforce a right does not constitute a waiver of that right.
